Compile error in Visual Studio 2012

I open my project in Visual Studio 2012. The target framework of my project is 2.0 (I upgrade the solution from VS2005 to VS2012 to use some new features such as TFS, ...).

When building the project, I got the error "The type or namespace name 'OfficeOpenXml' could not be found (are you missing a using directive or an assembly reference?)". I tried to remove and re-add the dll, then rebuild the project, but the error still occurs. Could you please help to resolve this?

Note that, when I try the dll with a .NET 4.0 project in VS2012, it works well.
